Synopsys, Inc. (SNPS), valuation method revision
Methodology only reassessment dated 27 August 2026. Reference price is frozen at $408.79, the 25 August 2026 close. Research cutoff remains 26 August 2026, 01:33 UTC. No later price, filing, earnings release, guidance, or news is used.
Scope lock and decision
The immutable 26 August package remains unchanged. Business Quality 8.2, Management Quality 6.8, and Industry Tailwind 8.4 are preserved because no evidence or rubric band changed. The revised weighted value is $416.74, a 1.9% expected return. Valuation moves from 4.2 to 3.5 because the DCF value falls into the demanding or no margin of safety band. Risk moves from 4.2 to 3.8 because the bear target and bear probability create a weaker price to bear relationship. Conviction moves from 6.42 to 6.17. The formal sizing remains Starter position, long bias.
Company specific valuation method
Primary architecture: consolidated enterprise unlevered free cash flow DCF, built from separate EDA/software and Design IP revenue bridges. This method is selected before targets. The value bearing variable is distributable enterprise cash flow after R&D, sales coverage, cash taxes, working capital, and capex. It fits a mature, high gross margin EDA oligopoly with recurring time based contracts, valuable but lumpier upfront/product IP, and material acquisition accounting from Ansys.
The DCF normalizes purchase accounting amortization without pretending it was free. It keeps stock compensation, dilution, integration costs, debt, and cash explicit. It also prevents a near term GAAP P/E from being dominated by acquired amortization, or an EV/revenue multiple from ignoring the cash needed to integrate Ansys.
Cross checks. A segment SOTP applies separate cash flow economics to EDA/software and Design IP. Recurring revenue and backlog/RPO conversion test forecast duration. Justified EV/FCF and EV/EBITDA test the terminal value. Acquisition synergy scenarios test timing and reinvestment. These are checks, not averaged targets.
Rejected as primary. Consolidated P/E is down weighted because GAAP includes purchase accounting while adjusted EPS excludes material economic costs. EV/revenue is not primary because Ansys channel gross accounting and Design IP mix change margins. A pure recurring revenue multiple overstates upfront product and IP revenue. A synergy multiple risks counting the same benefit in both earnings and the multiple.
Largest uncertainty is the conversion of Ansys integration and cross selling into incremental cash after sustaining R&D, while Design IP recovers and leverage declines.
Segment methodology
EDA/software includes core EDA, hardware assisted verification, and Ansys simulation. Its current reported segment includes acquisition scope and therefore is not an organic series. Design IP is separated because license, support, customization, and product acceptance timing differ from time based software. Customer concentration, advanced node complexity, AI/HPC demand, China/export controls, and foundry certification affect each bridge differently.

| Bull | 2031 | 14.620 | 2.580 | 17.200 | 36.0% | 6.192 |
The base path moves EDA/software from $8.150bn to $13.050bn and Design IP from $1.515bn to $2.550bn. EDA growth reflects node complexity, verification capacity, multiphysics attachment, and pricing/content expansion. Design IP growth is slower and depends on project acceptance. Base FCFF margin rises from 26.5% in FY2027 to 34.0% in FY2031 as committed cost synergies mature, duplicated SG&A falls, and deferred revenue normalizes. R&D remains funded. The bull case requires faster booked conversion and integration, while the bear case combines slower backlog conversion, persistent IP timing pressure, and less operating leverage.
Bear, base, and bull construction
| Case | Probability | Target | Return | WACC | Terminal growth | Enterprise value | Equity value |
|---|---|---|---|---|---|---|---|
| Bear | 20% | $176.35 | -56.9% | 9.5% | 2.5% | $41.33bn | $33.78bn |
| Base | 55% | $403.28 | -1.3% | 8.3% | 3.0% | $84.80bn | $77.25bn |
| Bull | 25% | $638.68 | 56.2% | 7.5% | 3.5% | $129.90bn | $122.35bn |
For each case, Enterprise value = sum(FY2027 to FY2031 FCFF / (1 + WACC)^t) + FY2031 FCFF × (1 + g) / (WACC - g) / (1 + WACC)^5. Equity value subtracts frozen net debt of $7.552bn. Per share value divides by frozen H1 FY2026 diluted shares of 191.562m. This produces exact targets of Bear $176.35, Base $403.28, and Bull $638.68.
Bear confirmation is backlog below $10bn without a scope bridge, weak Design IP through FY2027, Ansys organic growth below high single digits, and net debt failing to fall. Base confirmation is stable backlog conversion, gradual IP recovery, full committed cost synergy realization by FY2028, and improving cash conversion. Bull confirmation requires disclosed booked cross sell revenue, sustained premium EDA growth, clean integration, and faster deleveraging.
Cross check and reconciliation
The segment SOTP cross check values EDA/software at $78bn to $93bn enterprise value and Design IP at $5bn to $8bn, then subtracts net debt. Its base midpoint is near $400 per share and corroborates the DCF. A recurring revenue/RPO cross check supports duration but cannot value all backlog as cash. A justified EV/FCF range of about 20 to 26 times normalized FY2029 enterprise FCF brackets the base, while a headline peer multiple would overstate value if it ignores integration and leverage. Acquisition synergies are included in annual margins only, never added again as a separate asset.
Probability weighted value and expected return
The probability mix is Bear 20%, Base 55%, Bull 25%. Weighted value is $416.74. Expected cumulative return from $408.79 is 1.9%. Probabilities are assigned after the operating paths. Base is most likely because it requires cost delivery but only gradual revenue synergy. Bear probability remains meaningful because current price is far above the DCF bear. Bull needs observable booked evidence.
Financial fact check
Historical financials are unchanged and reconciled to the FY2025 Form 10 K and Q2 FY2026 Form 10 Q. Revenue is consolidated GAAP revenue. Gross profit is not revenue. GAAP operating income is not adjusted segment income or pre tax income. Net income distinguishes consolidated and Synopsys attributable ownership scope. The manifest separately defines diluted EPS, stock compensation, operating cash flow, capex, free cash flow, acquisition accounting, debt, cash, repurchases, and diluted shares. TTM remains FY2025 plus H1 FY2026 minus H1 FY2025 with identical definitions.
Scorecard delta and null hypothesis
| Pillar | Old | Revised | Band rule |
|---|---|---|---|
| Business Quality | 8.2 | 8.2 | Preserved, no evidence change |
| Management Quality | 6.8 | 6.8 | Preserved, no evidence change |
| Industry Tailwind | 8.4 | 8.4 | Preserved, no evidence change |
| Valuation / Margin of Safety | 4.2 | 3.5 | DCF weighted value offers no margin of safety |
| Risk / Asymmetry | 4.2 | 3.8 | Lower price to bear relationship under coherent cash flow bear |
| Conviction | 6.42 | 6.17 | Only valuation affected pillars moved |
Null hypothesis: conviction would have moved lower if the DCF required a terminal growth above nominal design spending, if base FCFF margin exceeded credible peer economics without a cost bridge, if backlog conversion weakened, or if dilution and leverage were omitted. It would move higher only after booked revenue synergy, sustained Design IP recovery, and debt reduction improve both cash flow evidence and downside.
